5. User Conduct

When using our services, you agree NOT to:

  • Violate any applicable laws or regulations

  • Infringe on the intellectual property rights of others

  • Share your account credentials with others

  • Redistribute, resell, or share our content without authorization

  • Interfere with or disrupt our services or servers

  • Attempt to gain unauthorized access to our systems

  • The right to remove copyright or proprietary notices

Master Resale Rights (Where Applicable)

Certain programs include Master Resale Rights that grant specific permissions to resell our products. These rights are governed by separate terms provided at the time of purchase and are available only to qualifying program members.

7. User-Generated Content

By submitting content to our website, community, or services (including comments, testimonials, questions, or other materials), you:

  • Grant us a non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and display such content

All prices are in US dollars unless otherwise stated. We reserve the right to change prices at any time. Price changes will not affect orders already placed.

Subscription Services

Certain services are offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time through your account settings or by contacting support.

9. Refund Policy

Refund policies vary by product:

VIP Masterclass ($97)

The VIP Masterclass is a digital product with immediate access. No refunds are available. This policy is clearly disclosed before purchase. We encourage you to attend a free Monday or Thursday meeting before purchasing to ensure the program is right for you.

90-Day Mastermind Program ($5,000)

The Mastermind includes a 7-day right of rescission. You receive full access to all training, daily calls, and resources from day one. If you determine the program is not a good fit within 7 days of enrollment, you may request a full refund by contacting the reseller who enrolled you.

After the 7-day period, no refunds are available.

Monthly Support Subscription ($97/month)

Monthly support subscriptions may be cancelled at any time through your account settings or by contacting support. Cancellation stops future charges but no refunds are provided for the current billing period.

10. Disclaimers

EDUCATIONAL PURPOSES ONLY

Our services are provided for educational and informational purposes only. Nothing on our website or in our products constitutes professional financial, legal, tax, or investment advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPERITY BY DESIGN LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities

  • Loss of data or goodwill

  • Investment losses

  • Personal injury or property damage

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Prosperity By Design LLC and its owners, officers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of our services

  • Your violation of these Terms

  • Your violation of any rights of third parties

  • Any content you submit or share

13. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use our services will immediately cease

  • You must cease all use of our content

  • We may delete your account and associated data

  • Provisions that by their nature should survive (including intellectual property, disclaimers, and limitations of liability) will remain in effect

15. Dispute Resolution

Informal Resolution

Before filing any formal legal action, you agree to first contact us to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

Binding Arbitration

If informal resolution is unsuccessful, any dispute arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Maricopa County, Arizona.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.
